Platform Terms and Conditions

1. If you use the Min Mentor platforms (the "Platform") you agree to be bound by these terms and conditions (the “Terms”). If you are using this platform on behalf of a company or other legal entity, you confirm that you have the authority to legally bind such entity to these Terms, in which case, the Terms shall apply in relation to such entity, its staff, and its affiliates, as applicable.If you do not have such authority, or if you do not accept the Terms, you may not register on the platform or use the services available. You acknowledge that these Terms constitute an agreement between you and/or the company or entity you represent and Min Mentor Norway, org. nr. 927683172, which governs your use of the platform.

Definitions

In these terms and conditions, "we", "us" and “Min Mentor” means MinMentor AS(Org. No. 927683172).

Access to the platform and services

The information provided by us on the platform is not in any way a recommendation to buy any products or services featured and you should seek appropriate independent advice.

We will endeavour to allow uninterrupted access to the Platform, but access to the Platform may be suspended, restricted, or terminated at any time.

We reserve the right to change, modify, substitute, or remove without notice any information, functionality, and/or features on the platform from time to time. Min Mentor also reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the platform and/or the service provided therein (or any part thereof) with or without notice. You agree that Min Mentor shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the platform, its features, or services.

We have no responsibility for the contents of any other platforms to which the platform may have links.

Other than using the platform as permitted under these Terms or other written agreements between you and Min Mentor, you may not resell, distribute, make any commercial use of, the platform or its services and information made available to/for you. Usage of the platform is based on trust between parties, and information shall be handled accordingly.

You are solely responsible for the proper cancellation of your account. Please notify us at post@min (mailto:post@avaofnorway.com)mentor.no if you wish to cancel your account.

Sharing of personnel

You and the company you represent accept and acknowledge that any sharing of personnel is and shall be subject to separate agreement and Min Mentors’ applicable General Terms of Employee Sharing (the “General Terms”), which forms part of the signed agreement in each case.

You are not obliged to purchase any of the services provided on the platform, but if you or your company elect to share personnel with another company, your company will be invoiced according to the General Terms signed on behalf of the company.

Intellectual Property

The copyright in the material contained on the platform, together with the platform design, text and graphics, and their selection and arrangement, and all software compilations, underlying source code and software (including applets) belongs to Min Mentor, its subsidiaries, or the providers of such information. All rights are reserved. None of this material may be reproduced or redistributed without our written permission. You may, however, download or print a single copy for your own non-commercial offline viewing.

Min Mentor and/or its suppliers, as applicable, retain ownership of all proprietary rights on the platform and in all trade names, trademarks, and service marks associated or displayed with the platform. You will not remove, deface or obscure any of Min Mentor or its suppliers’ copyright or trademark notices and/or legends or other proprietary notices on, incorporated therein, or associated with the platform.

You shall retain ownership of all copyright in data you submit to the platform.

If any users send us feedback or suggestions regarding the platform or service therein, Min Mentor shall have an unlimited, irrevocable, perpetual, free license to use any such feedback or suggestions for any purpose without any obligation to you.

Any software associated with the platform is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

Exclusions of liability

We use reasonable endeavors to ensure that the data on the platform is accurate and to correct any errors or omissions as soon as reasonably practicable after being notified of them. We do not monitor, verify or endorse information submitted by third parties for posting on the platform and you should be aware that such information may be inaccurate, incomplete, or out of date. To the extent permitted by applicable law, we disclaim all warranties and representations (whether expressed or implied) as to the functionality of the platform and/or the accuracy of any information contained on the platform. We do not guarantee that the platform will be fault-free and do not accept liability for any errors or omissions.

Due to the nature of electronic transmission of data over the internet, and the number of users by whom data is posted on to the platform, any liability we may have for any losses or claims arising from an inability to access the platform, or from any use of the platform or reliance on the data transmitted using the platform, is excluded to the fullest extent permissible by law. In no event shall we be liable for any indirect loss, consequential loss, loss of profit, data, revenue, business opportunity, anticipated savings, goodwill, or reputation whether in contract, tort or otherwise arising out of or in connection with this agreement or use of the platform save where such liability cannot be excluded by law.

We do not give any warranty that the platform is free from viruses or anything else which may have a harmful effect on any technology.

User name and password

You will receive a password and account designation/username upon completing the platform’s registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account.

Your name and password are the methods used by us to identify you and so are very important. You are responsible for all information posted on the platform by anyone using your username and password and any payments due for services accessed through the platform by anyone using your username and password. You agree to (a) immediately notify Min Mentor of any unauthorized use of your password or account or any other breach of security; and (b) ensure that you log out of your account at the end of each user session.

You may not adapt or circumvent the systems in place in connection with the platform, nor access the platform other than through normal operations.

Data Protection and data submitted by you

In order to give you and other users access to the platform and its services, we need to collect and process certain personal data about you and your company’s employees. We refer you to our applicable Privacy Policy for information about how we process personal data.

“Data” means any data and content you upload, post, transmit, or otherwise made available via the platform including messages you send, files you upload, comments you make on files, profile information, and anything else you enter or upload into the platform.

In order for us to provide services to you, we require that you grant us certain rights with respect to your data. For example, we need to be able to transmit, store and copy your data in order to display it to you and your colleagues, to index it so you are able to search it, to make backups to prevent data loss, and so on. Your acceptance of these Terms gives us your consent to do so and grants us any such rights necessary to provide the platform's service to you (and for no other purpose). This permission allows us to use third-party service providers (for example Heroku) in the operation and administration of the platform and the rights granted to us are extended to these third parties to the degree necessary in order for the platform and its services to be provided. Depending on the service, this may involve moving your data across jurisdictional lines, or across country borders. Min Mentor will not share, disclose, sell, lease, modify, delete or distribute any Data provided by you in any manner.

We accept no liability for data supplied by you or any other user for display on the platform and the limitations in clause 4 above (Exclusions of liability) apply.

If you submit data for display on the platform you are responsible for ensuring that the data is accurate, complete, and up to date and for updating that data where necessary, and that all necessary active consents have been secured from persons about whom you may be submitting and publishing personal data.

If you submit data for display on the platform you are responsible for ensuring that no data is uploaded or submitted which is untrue, defamatory, obscene or abusive, or otherwise objectionable or in breach of any applicable laws or rights of third parties.

You warrant that you have taken all reasonable precautions to ensure that any data you upload or otherwise submit to the platform is free from viruses and anything else which may have a contaminating or destructive effect on any part of the platform or any other technology.

We reserve the right (without limiting our rights to seek other remedies) to remove offending material placed on the platform that we consider to constitute a misuse of the platform or that may otherwise be harmful or offensive to other users of the platform.

We claim no intellectual property rights over the data and material you lawfully submit to the platform.

If you elect to utilize third-party applications in connection with your use of the platform you consent to your data being shared with such third-party application. To understand how such a third-party application provider processes your data and other information, you should review the third party's applicable privacy policy. You expressly understand and agree that Min Mentor shall not be liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.

You agree that Min Mentor may include your business name in a list of the company’s customers online and in print and electronic marketing materials. If you prefer not to have your details included, please email us at post@minmentor.no. (mailto:post@minmentor.no.)

You will indemnify and hold us harmless for any claim or loss (including without limitation, economic loss) suffered by us arising out of your failure to observe or a breach of any of the terms of this clause 7.

Use of the platform

You may not use the platform to:

upload, post, transmit, or otherwise make available any of your data that is or may be unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;

1. upload or transmit images that contain nudity, weapons, violence, or drugs;
2. impersonate, or misrepresent your relationship with any person or entity; or
3. upload or transmit any content that you do not have a right to make available, or that infringes any patent, trademark, trade secret, copyright, privacy, or other proprietary rights of any party.

You are solely liable and responsible for your interactions with other users, which should at all times have a pleasant and respectful tone. We reserve the right to monitor any disputes between you and other users, but we have no obligation to do so.

The features made available through the platform are intended for normal use, and any abuse of features may result in a ban or removal of the user concerned.

We reserve the right to temporarily suspend your account if your usage significantly exceeds the average usage by other platform users and/or if there is a risk that your usage of the platform may cause disruption to other users. We will always attempt to reach out to the account owner concerned before taking any action except in cases where the level of use may negatively and immediately impact the performance of the platform and/or associated services for other users.

Termination

We may terminate your access to the platform and the services within it at any time on not less than 3 days written notice to you.

Breach of any of the Terms may result in the immediate termination of your account.

All disclaimers, indemnities, and exclusions in these terms and conditions shall survive termination of the agreement between us for any reason.

General

If any provision of these terms and conditions is held to be unlawful, invalid, or unenforceable, that provision shall be deemed severed and the validity and enforceability of the remaining provisions of these terms and conditions shall not be affected.

We may update and/or modify these Terms at any time by publishing the modified terms and conditions on the platform.

Governing law

These terms and conditions shall be governed by and construed in accordance with Norwegian law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Bergen, Norway, to which both parties submit.
